You remain solely responsible for all employment decisions made by your organization.

Welcome to LeadRight ("LeadRight," "Company," "we," "us," or "our"). These Terms of Service govern your access to and use of the LeadRight platform, software, and related services.

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and authorized to enter into legally binding agreements to use the Services.

2. Services Provided

LeadRight provides AI-powered HR guidance, leadership development tools, coaching resources, and related SaaS functionality. The AI functionality is powered in part by Anthropic, PBC, whose language models process conversation inputs to generate responses. LeadRight does not provide legal advice, financial advice, mental health counseling, or licensed clinical services.

3. Account Registration

You agree to provide accurate information, maintain the confidentiality of your credentials, and accept responsibility for all activity under your account.

4. Acceptable Use

You agree not to use the Services unlawfully, upload harmful or discriminatory content, attempt unauthorized access, or use the Services to violate employment or privacy laws.

5. Intellectual Property

All platform content, branding, methodologies, and software remain the exclusive property of LeadRight. You may not reproduce, distribute, or commercially exploit any materials without written authorization.

6. Subscription & Payment

Fees are billed according to your subscription plan, are non-refundable unless otherwise stated, and may renew automatically unless canceled prior to renewal. LeadRight reserves the right to modify pricing with reasonable notice.

7. Suspension & Termination

LeadRight reserves the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any of the following reasons:

Violation of these Terms or our Acceptable Use Policy
Non-payment of applicable fees
Conduct that LeadRight reasonably believes poses a risk to the platform, other users, or third parties
Required by law or regulatory authority

You may terminate your account at any time by contacting bizcoachgurus@gmail.com. Upon termination, your right to access the Services ceases immediately. LeadRight will retain your data for a reasonable period as required for legal, security, and compliance purposes before deletion.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LEADRIGHT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LeadRight does not guarantee that the Services will be uninterrupted, error-free, or produce specific business, employment, or legal outcomes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADRIGHT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. LEADRIGHT'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend and hold harmless LeadRight from claims arising out of your use of the Services, employment decisions you make, violations of employment or privacy laws, or data you upload into the platform.

11. Force Majeure

LeadRight shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond LeadRight's reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, internet or telecommunications outages, third-party service provider failures (including cloud infrastructure or AI model providers), or any other event outside LeadRight's reasonable control. LeadRight will use commercially reasonable efforts to resume normal operations as promptly as practicable.

12. Arbitration

Any dispute arising out of these Terms shall be resolved through binding confidential arbitration in the State of Florida. The parties waive any right to jury trial or class action participation.

13. Governing Law

These Terms are governed by the laws of the State of Florida.
